Terms and Conditions

ELIGIBILITY
Applicants must hold primary research positions and must be planning to submit a grant application to support a broader research aim for which they need pilot data. Applicants may not hold current awards directly related to the proposed research.

Participation in the 10x Genomics Core Lab Grant Program Single Cell Applications (“Program”) is open to persons meeting these eligibility requirements. Applicants must be engaged full-time in laboratory-based scientific research and have attained at least the age of majority in their jurisdiction of residence (entrants must, in any event, be at least 18 years of age). Employees, officers, directors, agents, representatives and independent contractors of 10x Genomics, Inc. (“10x Genomics”), its subsidiaries or affiliated companies, together with their immediate family members and members of the same households (whether related or not) are not eligible to participate. Also ineligible are (1) residents of Cuba, Iran, North Korea, Sudan, Syria or any country subject to U.S. embargo; (2) any persons (including businesses, research institutions, government and private organizations, individuals, and other types of legal persons) on the U.S. government’s Denied Persons List, Specially Designated Nationals list, Entity List, Unverified List or any other similar list maintained by the U.S. government or any other government to whose laws 10x Genomics, its subsidiaries or affiliated companies or such person is subject, and all individuals employed thereby or otherwise associated therewith; and (3) any persons for whom it would be illegal to participate in the PROGRAM, or with or to whom it would be illegal for 10x Genomics to interact or grant any award as contemplated herein. No purchase necessary to be selected. Participation in the PROGRAM is subject to all applicable laws and regulations, and is void where prohibited or where registration, bonding or language translation is required.


HOW TO APPLY
To enter, applicants must submit abstracts of one page or less in accordance with applicable instructions. The contest is open to researchers who have not been the winner of another 10x Genomics contest or program in the past year. The application must include: (1) the applicant’s full name, email address, telephone number and any other contact information required by 10x Genomics; (2) the name of the applicant’s institution or company and, if applicable, the research laboratory or laboratories in which the proposed project will take place; (3) a descriptive title for the proposed project; and (4) a project description (written in 300 words or less) demonstrating how the 10x Genomics Single Cell Applications will be applied for the project and how that can fuel discovery in your field of research. 10x products are intended for RESEARCH USE ONLY and NOT FOR USE IN DIAGNOSTIC PROCEDURES. 10x Genomics makes no guarantee or warranty with respect to the security or confidentiality of applications or the application process. By entering, the applicant gives permission to 10x Genomics to contact the applicant regarding 10x Genomics’ products and services, whether or not the applicant is selected as a recipient under the Program.

Each applicant shall be entitled to make one (1) application into the Program. In the event that 10x Genomics deems an applicant to have submitted multiple applications hereunder or to have acted in bad faith with respect to the Program, the applicant shall be excluded from the Program and subsequently ineligible to be selected. 10x Genomics reserves the right to select no more than one recipient per research laboratory.


SELECTION OF RECIPIENTS AND NOTIFICATIONS
Recipients will be selected by a panel of 10x Genomics’ scientists in the sole discretion of 10x Genomics. The decision of this panel will be final and binding and shall not be subject to review or appeal by any applicant or by any third party. 10x Genomics will attempt to notify the selected recipients by email within approximately five (5) business days after selection. If a selected recipient has not responded to email inquiries within three (3) days, 10x Genomics will attempt to contact the individual by telephone. If the selected recipient cannot be reached by telephone within forty-eight (48) hours of first telephone attempt, the awards may be forfeited and an alternate recipient may be selected, based on the criteria set forth above, at 10x Genomics’ discretion. Selected recipients may be required to execute and return an affidavit of eligibility/release of liability/publicity release (where legal) within twenty-one (21) days of first notification attempt. If the recipient fails to return the affidavit/release by the deadline, awards will be forfeited and an alternate member may be selected, based on the criteria set forth above, at 10x Genomics’ discretion. The odds of being selected depend on the number of eligible entries received.


DESCRIPTION OF AWARDS
Awards may not be transferred or assigned; no substitutions or cash equivalents are allowed. All taxes on the awards and reporting thereof, and any other costs, fees and expenses relating to the awards, or the research project, are the sole responsibility of the recipient and/or the recipient’s institution or company.


RESTRICTIONS APPLY
The applicant understands and agrees that no ideas, information or materials that are submitted to or otherwise provided to 10x Genomics in connection with the Program will be returned, and that 10x Genomics make no guarantee or warranty with respect to the security or confidentiality thereof. By submitting an application or accepting the award(s), the applicant agrees on behalf of the applicant and the applicant’s institution or company: (1) to be bound by these official rules; (2) that 10x Genomics shall retain full authority, in their sole discretion, to interpret and administer these rules; (3) that any dispute with regard to the conduct of the Program, rule interpretation or selection of recipients, shall be resolved by 10x Genomics, whose decision shall be binding and final; (4) to be bound by all decisions and interpretations made in good faith by 10x Genomics; and (5) that all use of 10x Genomics products will be subject to 10x Genomics’ standard terms and conditions of sale, including restrictions on use.

Furthermore, the applicant represents and warrants that: (1) the applicant meets all eligibility requirements of the Program; (2) the applicant has obtained all required authorizations and permissions from the applicant’s institution or company; (3) entering into the Program and accepting any award hereunder does not and will not violate any law or regulation, or any of the institution’s or company’s rules or policies; and (4) the information contained in the application is true and correct in all material respects and is owned or rightfully possessed by the applicant without restriction on disclosure. 10x Genomics may refuse to grant any award if 10x Genomics determines in their sole discretion that doing so would likely result in a violation of an applicable law, rule, or policy.


USE OF RECIPIENT’S NAME AND LIKENESS
The applicant acknowledges and agrees that, if the applicant is selected, the applicant’s name, biographical information, likeness, the name of the applicant’s laboratory, institution and/or company affiliation and the project title (excluding further project details) may, without further compensation, be published on 10x Genomics website(s) and, at 10x Genomics’ discretion, through social media. By accepting any award, the recipient grants to 10x Genomics, on behalf of the recipient and the recipient’s institution or company, the right, at any time and from time to time, to print, publish, broadcast and use, worldwide and in any media now known or hereafter developed (including, but not limited to, social media, the Internet and the world wide web), the winning applicant’s name, biographical information, image (if provided by the applicant), likeness, the name of the winning applicant’s laboratory, institution and/or company affiliation and the project title (excluding further project details).


INDEMNITY, DISCLAIMER AND LIMITATION OF LIABILITY
By participating in the Program, the applicant agrees on behalf of the applicant and the applicant’s institution or company to release, discharge, indemnify and hold harmless 10x Genomics and their respective affiliates, subsidiaries, officers, directors, employees, agents and representatives from all liability for any injury, loss or damage, including death or property damage, due in whole or part, directly or indirectly, to the participation in the Program or the acceptance, possession, use or misuse of any award. 10x Genomics has not made and does not make any warranty, representation, or guarantee, express or implied, in fact or in law, with respect to the awards, including, without limitation, to such awards’ quality or fitness for a particular purpose. 10X GENOMICS IS NOT RESPONSIBLE FOR LOST, LATE, STOLEN, INCOMPLETE, ILLEGIBLE, INACCURATE, UNDELIVERED, DELAYED OR MISDIRECTED ENTRIES, OR FOR ANY COMPUTER, THE INTERNET, EMAIL, TELEPHONE OR TECHNICAL MALFUNCTIONS OR DELAYS, OR FOR ANY HUMAN ERRORS THAT OCCUR IN THE PROCESSING, TRANSMISSION OR RECEIPT OF ENTRIES, OR FOR INACCURATE TRANSCRIPTION OF ENTRY INFORMATION, OR IF THE PROGRAM IS NOT CAPABLE OF BEING CONDUCTED AS PLANNED, INCLUDING BUT NOT LIMITED TO INFECTION BY COMPUTER VIRUSES, BUGS, TAMPERING, UNAUTHORIZED INTERVENTION, FRAUD, TECHNICAL FAILURES, OR OTHER CAUSES BEYOND THE CONTROL OF 10X GENOMICS. IN NO EVENT SHALL 10X GENOMICS OR THEIR RESPECTIVE AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR IN CONJUNCTION WITH PARTICIPATION IN THE PROGRAM OR THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY AWARD, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY OF THEM ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. 10X GENOMICS’ TOTAL AND CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM SHALL IN NO EVENT EXCEED FIVE THOUSAND DOLLARS ($5,000).


MISCELLANEOUS
10x Genomics reserves the right to suspend, modify, cancel or terminate the Program without advance notice, including, without limitation, in the event of any act, occurrence or reason that it believes would compromise the legality, integrity, administration or fairness of the Program. If one or more provisions of these official rules are held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall be valid and enforceable. These official rules are governed by and shall be construed by the laws of the State of California, USA, without application of its choice of law principles. Should there be a conflict between the laws of the State of California and any other laws, the conflict will be resolved in favor of the laws of the State of California. The failure of 10x Genomics to comply with any provision of these official rules due to civil unrest, threat of or actual acts of terrorism or war, embargoes, governmental actions, acts of God, earthquakes, floods, storms, fires, supplier delay, accidents, explosions, epidemics, quarantine restrictions, or other such contingencies beyond the control of 10x Genomics, shall not be considered a breach of these rules.
